Welcome to Blok! These Terms of Service ("Terms") govern your use of the Blok mobile application and related services (collectively, the "Service") operated by Nearby, LLC ("Blok," "we," "us," or "our").


By downloading, accessing, or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.


1. ACCEPTANCE OF TERMS

By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.


2. DESCRIPTION OF SERVICE

Blok is a location-based platform that helps users discover and connect with their local communities through interest-based channels. Our Service aggregates neighborhood content, events, and facilitates connections between residents through personalized feeds organized by location and interests.


3. ELIGIBILITY

You must be at least 13 years old to use our Service. If you are under 18, you represent that you have obtained parental or guardian consent to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms.


4. USER ACCOUNTS


4.1 Account Creation

To access certain features, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.


4.2 Account Responsibility

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.


4.3 Location Information

Our Service relies on location data to provide relevant local content. By using the Service, you consent to our collection and use of your location information as described in our Privacy Policy.


5. USER CONTENT AND CONDUCT


5.1 User-Generated Content

We reserve the right to review, moderate, or remove User Content that violates these Terms or our community guidelines. We may also suspend or terminate accounts that repeatedly violate these standards.


6. PROHIBITED USES

You may not use the Service to:

  • Interfere with or disrupt the Service or servers

The Service and its original content, features, and functionality are owned by Blok and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.


7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes, subject to these Terms.


7.3 Third-Party Content

Our Service may include content from third parties, including local news outlets and community sources. Such content remains the property of its respective owners.


8. PRIVACY AND DATA PROTECTION

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to our privacy practices as described therein.


8.1 Location Data

Given the location-based nature of our Service, we collect and process location information to provide relevant local content and connections. You may control location sharing through your device settings, though this may limit Service functionality.

9.1 Service Availability

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Blok shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.


11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Blok and its officers, directors, employees, and agents from any claims, demands, damages, or expenses arising from your use of the Service, your User Content, or your violation of these Terms.


12. TERMINATION


12.1 Termination by You

You may terminate your account at any time by contacting us or using account deletion features in the app.


12.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms.


12.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall remain in effect.


13. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will notify users of significant changes through the app or via email. Your continued use of the Service after changes constitutes acceptance of the new Terms.


14. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Michigan, without regard to conflict of law principles.


15. DISPUTE RESOLUTION

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that you may pursue claims in small claims court if they qualify.


16. SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.


17. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Blok regarding the Service.
